Dell shareholders reject union proposals

ROUND ROCK, Texas (AP) - Dell Inc. shareholders voted Thursday to reject a union proposal that shareholders be given an "advisory" vote on pay for Dell executives, and re-elected CEO Michael Dell to the board.

The executive compensation proposal was put forward by the AFL-CIO Reserve Fund. Several other companies have passed similar measures, which give shareholders a symbolic role in approving compensation plans.

Dell shareholders also turned down a proposal to reimburse certain expenses for shareholders who want to put up their own candidate for the board of directors. That proposal came from the pension plan managers of the American Federation of State, County and Municipal Employees.

The labor groups also wanted to strip Michael Dell of his position as chairman, in the wake of charges that the company pumped up its earnings reports with undisclosed payments from chip maker Intel Corp.

2. Proxy votes that are not sent in are counted as the board of directors

wants them to be counted. Such proposals are always labeled "the BOD suggests a "no" vote, so that's how proxy votes that are not returned are counted.

The shareholders likely didn't turn the proposal down. They were just too bone lazy to read it and vote on it.

Every time I see this type of stuff, "Dell Inc. shareholders voted", I just want to laugh and then barf.

"Shareholders" at mega-beast-corporations any more are usually just place like Wall Street firms, that
hold massive amounts of stock...many times in a special "class".

They just rubber stamp what the BOD and crooked CEO's want...in most cases the so called "little guy"
have no chance of making changes.

It seems that in the cases where change is made by vote...it's because those major shareholders and the BOD
get scared that they could be brought out into the "light" (vs. the dark shadows in which they hide).
