http://biz.yahoo.com/e/050214/acup.ob10-q.html
From their Feb 14 10Q:

We have incurred losses from operations since inception, have negative working capital of approximately $5.8 million at December 31, 2004, and lack operational history. These conditions, among others, raise substantial doubt about our ability to continue as a going concern.

We have not generated any revenues from our Voting System operations, and there is no assurance of any future revenues. We will require substantial additional funding for continuing the development, obtaining regulatory

approval, and commercialization of our product. There is no assurance that we will be able to obtain sufficient additional funds when needed or that such funds, if available, will be obtainable on satisfactory terms.

Management has taken the following actions to address these matters:

o Retention of experienced management personnel with particular skills in the commercialization of such products;

o Attainment of technology to develop such products and additional products; and

o Raising additional funds through the sale of debt and/or equity securities.

Federal, state and various foreign government regulations govern the sale of our products. There can be no assurance that we will receive the regulatory approval required to market our proposed products.

The accompanying consolidated financial statements have been prepared assuming that we will continue as a going concern which contemplates, among other things, the realization of assets and satisfaction of liabilities in the ordinary course of business. As stated above, we have incurred losses through December 31, 2004, have negative working capital at that date and have a lack of operational history which, among other factors, raise substantial doubt about our ability to continue as a going concern. We intend to fund operations through sales of the Voting System, but there is no commitment by any entities for the purchase of any of the proposed products. In the absence of significant sales and profits, we may seek to raise additional funds to meet our working capital requirements through debt and/or equity financing arrangements. Management believes that such arrangements will be sufficient to fund our capital expenditures, working capital needs and other cash requirements for the year ending June 30, 2005. The successful outcome of future activities cannot be determined at this time, and there is no assurance that, if achieved, we will have sufficient funds to execute our intended business plan or generate positive operating results.

These circumstances, combined with the potential liability associated with certain equity instruments subject to rescission (see Note 2 to the accompanying financial statements for additional information), raise substantial doubt about our ability to continue as a going concern. The accompanying consolidated financial statements do not include any adjustments that might result from the outcome of this uncertainty.

Interesting accessment of market trends from their 10Q

BUSINESS TRENDS

There are three business trends evident in the market today that are material to our operations. The first is the delay in the procurement cycle until after the November 2004 election. This trend was influenced by two factors: 1) the delay in the distribution of the federal funds by the United States Election Assistance Commission, and 2) the November 2004 Presidential Election. The delay in the distribution of the federal funds was caused by the delay in nominating and confirming the Election Assistance Commissioners (scheduled to be completed by April 2003, but instead was completed in December 2003), and the delay on the part of some states in meeting all the requirements for the funds to be released by the Election Assistance Commission. With the delay in funding until June 2004, less than five months before the November 2004 election, the majority of counties have decided not to risk making any changes until after the November 2004 election. As of Feb. 6, 2005 the DOJ has informed the Secretaries of State that they must be in compliance with the statues of HAVA as scheduled. This creates a strong message to begin purchasing voting machine as required.

The second business trend is the growing momentum of the movement for a Voter Verified Paper Audit Trail (VVPAT). As of September 2004, eighteen states (Alabama, Alaska, California, Connecticut, Georgia, Illinois, Maine, Maryland, Minnesota, New Hampshire, New Jersey, New York, Ohio, Vermont, Virginia, West Virginia and Wisconsin) have either passed or are actively considering legislation that would make it a requirement for any direct recording electronic (DRE) voting system used in the state to produce a VVPAT. As recently as February 1, 2005 both Arizona and Texas have introduced legislation requiring a VVPAT with bills being considered in Louisiana and Washington. In another five states (California, Missouri, Oregon, New Hampshire and Nevada), the Secretary of State has issued a directive mandating VVPAT in the state.

The third business trend is the growing list of states that are requiring DRE voting systems to be qualified under the 2002 federal voting system standards. This requirement is primarily focused in states where electronic

voting systems have not been previously used (e.g., Illinois, Missouri, Iowa and North Carolina).

Overall the net impact of these trends on AccuPoll is positive. AccuPoll already has a DRE voting system with a VVPAT qualified under the 1990 federal voting system standards. We are currently in the process of testing our DRE voting system under the 2002 federal voting system standards. We expect to complete federal qualification testing under the 2002 federal voting system standards by March 1, 2005. This places AccuPoll in position as one of the few vendors with a DRE voting system that is federally qualified under the 2002 voting system standards and has a VVPAT in time for the beginning of the procurement cycle after the November 2004 election. This is especially important in states like Missouri and Illinois that have not previously authorized DRE voting systems to be used in the state, but must at a minimum meet the accessibility requirements under the Help America Vote Act of 2002 (i.e., one DRE voting machine per polling place).

5. Interview with Frank Wiebe
http://www.computerworld.com/securitytopics/security/story/0,10801,96651,00.html?from=story_package

News Story by Dan Verton

OCTOBER 18, 2004 (COMPUTERWORLD) - Tustin, Calif.-based AccuPoll Inc. is one of the few vendors of DRE touch-screen voting machines whose systems include a voter-verifiable paper audit trail. AccuPoll President and co-founder Frank Wiebe talked to Computerworld about the "disjointed" national process for developing, testing and certifying e-voting systems.

What is your view of the current testing process conducted by the Independent Testing Authorities and the call for more transparency into DRE software design? As a company, we think opening our source code to review would actually be a good thing to do. What we have to look at is, having invested millions of dollars creating the software we have, to do that in the appropriate way and be sensitive to our shareholders.

If the secretary of state from any state wants to be comfortable that the software they have loaded on their systems is in fact the certified software, they can take designated test cases that they want to run and run those tests in public. This would probably take several days before it's done. And then they can publish the results.

The issue we have as a business is that our software is several hundred thousand lines of Java code. Most people would probably not be qualified to look at it. We've always made the source code available to the states, but nobody has ever really directly asked us for it.

We don't look at the as adversarial. They are actually helping us make our software compliant and make it better. But the Election Assistance Commission has to come up with guidelines to help make the process transparent.

What kind of testing practices do you follow during the software development process? Do you do unit testing or only end-product integration testing? We conduct testing at all levels. Each developer has their own individual unit testing that they do on their own. We use a standard software management tool for checking software in and out and being aware of who's working on what. We also use an internal problem-ticketing system that tracks and assigns bugs and fixes. From there it goes into an integration testing environment. And from there it has to go through regression testing with the versions that are already deployed.

Were you at all surprised when you read the comments in the independent studies of the Diebold software? Yes and no. Diebold bought a company that , and they probably did so under the assumption that they had a product that met the federal standard and was actually in the field and being used. I don't know what they did to determine if the product was well developed.

In looking at their code, there certainly would appear to be glaring deficiencies in how the software was developed, tested and documented internally. But I have to partially agree with Diebold's response that the studies did not look at the overall election process. Part of any IT system is the overall process around it, including the overall rules regarding access and how audits are conducted and how frequently. There's only so much you can do in the software and the hardware.

RE: Is AccuPoll making voting machines for Unisys and/or somehow an agent or parent of Unisys? Or getting machines FROM Unisys? Or SOMEHOW related???

Here’s a start—some of this info may not be helpful, but it answers some of your question here.

I’m not sure why this website has this info on Accupoll, but here is a bit on relationship b/w Accupoll/Unisys:

http://www.furnitureforthepeople.com/freepress.htm
http://www.furnitureforthepeople.com/accupoll.htm
AccuPoll has been successful in establishing critical strategic relationships with partners in systems integration and OEM manufacture, including EDS, Unisys, Lexmark, and Source Technologies. The Company intends to utilize these relationships to quickly implement its growth strategy and facilitate rapid national market deployments now that certification has been received.

Here’s a press release on VP at Accupoll who worked at Unisys previously:

http://www.accupoll.com/AboutUs/ManagementTeam/JZ/

Jo-Ann Zakielarz Appointed Vice President of Government Relations and Global Alliances of AccuPoll

IRVINE, Calif. -- January 6, 2003 -- AccuPoll Inc. (Nasdaq:ACUP - News) today announced that Jo-Ann Zakielarz, formerly director of elections for Unisys, has joined AccuPoll as vice president of government relations and global alliances.

Zakielarz was with Unisys Corp. for 13 years where she developed, promoted and implemented technology solutions for state and local election officials. Her experience ranged from selling and consulting on the implementation of precinct voting systems to statewide-centralized voter registration systems.

She provided testimony in the Federal Election Commission Hearings and debates in the United States Congress, on various matters including the National Voter Registration Act of 1993.
She works closely with the National Association of Secretaries of State, National Association of State Election Directors, the Election Center, the International Association of Clerks, Recorders, Election Officials and Treasurers and the League of Women Voters to help redefine and enhance election management.

At AccuPoll, Zakielarz will be responsible for working with local, state and national leaders in the United States and around the world to promote AccuPoll's state of the art voting systems. She will also be responsible for developing partnerships with global and regional systems integration companies and elections experts that are aimed to bring AccuPoll's secure, integrated voting technology to the marketplace.

<<snip>>

She has generated over $200 million in sales revenue and developed global alliances with Big Five consulting firms.
Formerly with Unisys, she successfully sold election technology solutions in the US and international marketplaces.
She remains involved with the National Association of State Election Directors, and the National Association of Secretaries of State to enhance election management.

Here’s info from a Forbes article with some info on a lot of e-voting cos., including Accupoll and mentions Unisys:

<<snip>>
The best-known company in this niche is $2 billion (2002 projected sales) Canton, Ohio-based Diebold (nyse: DBD - news - people ), which dominates the automated teller machine market with a 66% share in North America. Newport Beach, Calif.-based AccuPoll, publicly-held U.K. company De La Rue and a handful of startups are also angling for this business. All are taking on the longtime election-services market leader, privately-held Election Systems & Software of Omaha, Nebr. Also looking to cash in: technology consulting firms such as Accenture (nyse: ACN - news - people ) and Unisys (nyse: UIS - news - people ), which have contracts with various states to automate voter registration databases--another requirement of the new law.

Despite the large pot, other big companies have shied away from the market, perhaps in part because of the difficulty of dealing with so many local officials in what has traditionally been a government backwater. In most states, voting machines are bought by the counties, not through a statewide purchase. Earlier this year, Dell Computer (nasdaq: DELL - news - people ) ditched a short-lived partnership with Austin neighbor and voting machine maker Hart InterCivic, a private company. IBM (nyse: IBM - news - people ) abandoned its punch-card voting machine division in the 1960s and has shown no interest in getting back in.

Diebold got into this business through its 1999 purchase of a Brazilian ATM maker for $240 million. That's how it came to dominate the Brazilian election market. In January, it bought its way into the U.S. voting machine market too, spending $24 million for moneylosing Global Election Systems. Diebold is now predicting that the electronic voting market could generate $1.5 billion to $2 billion in revenue for it during the next four to five years. Already Diebold has won a $13 million contract from Alameda County, Calif., and a $54 million contract to supply all 159 counties in Georgia with touch-screen machines. (Strong lobbying efforts helped it win the Georgia plum.)

When opportunity comes knocking, the astute capitalize. AccuPoll Holding Corp. (OTC:ACUP.OB, the "Company", www.accupoll.com), a leading developer of patent-pending electronic voting systems, is an example of an emerging company that is capitalizing on a market opportunity to which the US Congress attached a price tag of $3.9 billion in 2002. As well, the State of California created an estimated $300 million market for voting systems with the passage of proposition 41 in 2002, a measure to modernize all of California's antiquated voting machines with new high tech voting systems. Having established strategic alliances with companies such as Electronic Data Systems, Unisys Corporation, and Lexmark International, AccuPoll has become a leader in its field, and is clearly in a position to significantly benefit from these government backed initiatives. Of particular note, institutional investors such as ABM Amro (Switzerland), Lemanik Funds (Italy) and BCL Bank (Switzerland) have taken equity positions in the Company.

AccuPoll has executed a reseller agreement with Unisys Corporation to market, deliver and service the AccuPoll solution in the Commonwealth of Pennsylvania.

This article has more tidbits, including some political connections (notice Repub and Dems are mentioned in the article)to e-vote cos., but nothing about political relationships directly related to Accupol or Unisys—might be of interest to read, though.

<<snip>>
Some of the biggest U.S. companies were among dozens angling for new products, partners or investments: Unisys Corp. had forged a voting machine partnership with Dell Inc. and Microsoft Corp. Cisco Systems Inc. and Compaq Computer Corp. invested in the development of an Internet voting system.
<<snip>>
De La Rue Plc, which paid $23 million in May 2002 for 85 percent of Sequoia Voting Systems Inc. of Oakland, California, reported that its election unit lost more than $8 million in the two years ended on March 27. Unisys and its partners haven't sold any voting machines in the U.S., says Bill Batcher, director of election services at Blue Bell, Pennsylvania-based Unisys.
<<snip>>
``We're looking at probably a multibillion-dollar market,'' Steve Hagan, then Unisys's elections practice director, said on Jan. 11, 2001, when the company announced its alliance with Dell and Microsoft to market voting services. That day, Unisys shares surged 14.4 percent to $17.38, Dell jumped 7 percent and Microsoft rose 4 percent.

Strategic alliances with firms such as Electronic Data Systems, Unisys Corporation and Lexmark International, exemplify the quality of the Company’s partnerships and highlight the reliability of AccuPoll’s technology, systems and service capabilities. The Company’s relationship with the National Association of Secretaries of State, and its network of partners, alliances, and government affairs consultants, will help it achieve market penetration in the ten most populous States, that is, the States to first adopt new electronic voting systems. Lastly, AccuPoll’s state-of-the-art technology addresses government’s growing demand for improved voting technology, and meets all criteria, as defined by the Help America Vote Act of 2002 ("HAVA"). The fact that the Company has demonstrated its AccuPoll voting system to United States Representatives, Secretaries of State, State legislators and local election officials since September 2001, suggests that the Company is a front runner in contract negotiations to become a supplier to US electoral administrative bodies.

AccuPoll and Unisys Complete Successful Election for Democratic Committee of Allegheny County, PA

Members Cast Ballots Electronically and Review Selections Via Voter Verified Paper Audit Trail; Committee Raves About Speed, Accuracy and Confidence Provided By System

Tustin, CA – March 1, 2005 – AccuPoll, Inc. (OCTBB: ACUP), a developer of Direct Recording Electronic (DRE) voting systems today announced the successful completion of Sunday’s endorsement election for the Democratic Committee of Allegheny County. Nearly 1,900 ballots were recorded in just a few hours, with results ready in just minutes after the polls closed.

AccuPoll conducted the election alongside reseller Unisys Corporation (NYSE: UIS), which provides election services, training and support for AccuPoll’s system throughout Pennsylvania.

"The AccuPoll voting system was absolutely wonderful and I am very excited about the benefits it provided to our voters,” said Jean A. Milko, Chairman of the Democratic Committee of Allegheny County. “Our older voters found the system very easy to use and many found it to be so simple and intuitive that they didn’t even have to be shown how to use it. Our lines were much shorter than usual because the system sped voters through quickly. I also think that the paper trail is a tremendous asset because it provides a backup of the vote. In all, our voters loved it.”

Committee members cast their ballot electronically using AccuPoll’s intuitive touch-screen interface and were able to personally review a printed paper audit trail indicating their selections. The audit trail was then inserted into a ballot box, becoming part of the official record for recounting and verification.

“With more than 22 different ballots and nearly 1,900 voters in just seven hours at one location, this is one of the more complex tasks that a voting system can endure,” said Frank Wiebe, president of AccuPoll.

AccuPoll designed their federally-qualified DRE voting system from the outset to feature a voter verified paper audit trail (VVPAT) and fully comply with the stringent requirements outlined in the “Help America Vote Act of 2002” (HAVA), the sweeping legislation that outlines the future of voting systems in the United States and earmarks more than $3.9 billion for updating America’s voting infrastructure. The company is one of the few vendors of an electronic voting system that has incorporated a VVPAT into their federally-qualified system.

20040195323 - Systems and methods for electronic voting
http://www.freshpatents.com/Systems-and-methods-for-electronic-voting-dt20041007ptan20040195323.php

Systems and methods for electronic voting
An electronic voting system has a voting administrative module connected to a plurality of voting modules connected via a network. A voter initiates the voting process by inserting a voting key into a voting key reader of a voting module. The voter then makes voting selections, which include casting votes, on a touch screen display of the voting module. Alternatively, the voting module may verbally guide the voter through the voting process using an audio headphone. The voter may also make voting selections verbally through a microphone using voice recognition technology, or by using a tactile keypad. After the voter is finished casting votes, a voter verifiable paper ballot is printed and an electronic ballot is saved on the electronic voting system. The voter can review the paper ballot. If the voter is not satisfied with the voting selections reflected on the paper ballot, then the paper ballot and the electronic ballot may be spoiled and the voter given a new voting key to use to re-cast the votes on the electronic voting system.

11. Thanks!
All information is helpful.

Has anyone found any links or connections to GOP or Fundies by this company (as per Diebold, ES & S etc connections to GOP and Fundamentalist Christian RW)?

This is a new company. I have seen their machines and compared to others I have seen, AccuPoll's system does seem to have addressed some of the problems. Their VVPB format is the best I have seen coming out of a DRE (standard 8.5 x 11 plain-paper sheets printed in non-fade ink).
