1. Most IPO's are not open to all

brokers are allowed a certain number of shares which they distribute so being open to all is more unusual.
Those who get the limited shares are allowed to purchase at a price set before the opening for market shares. They would usually get the lower price.

2. I was doing some reading, and the book touched briefly on prohibitions

against the purchase of United States investment banks by foreign nations, and it alluded to laws that prohibit foreign ownership of other strategic assets, all of which are available on the open market, such as it is. There are specific laws to prohibit foreign ownership of airlines, so I suspect that might be seen as a strategic asset, as questionable as that might sound.
